GYMDATE – USER TERMS & CONDITIONS Last Updated: 24 August 2026 Effective Date: 24 August 2026 These Terms & Conditions ("Terms") constitute a legally binding agreement between SantoEdge Private Limited ("Company", "SantoEdge", "we", "us" or "our") and any person who accesses, registers on, browses, or uses the GymDate website, mobile application, WhatsApp service, booking platform, or any related digital service (collectively, the "Platform"). GymDate is a fitness discovery, aggregation and booking platform that enables users to discover and access participating gyms, fitness centres, studios, classes and other fitness service providers ("Partner(s)"). By accessing or using GymDate, creating an account, making a booking, purchasing a pass, or otherwise using the Platform, you acknowledge that you have read, understood and agreed to these Terms. 1. ABOUT GYMDATE GymDate is an aggregation and technology platform intended to make fitness services easier to discover, compare and access. Depending on the Partner and the offering, GymDate may facilitate access to: • Single-day passes • Weekly passes • Multi-day passes • Monthly memberships • Long-term memberships • Fitness classes • Zumba, aerobics, dance and similar activities • Other fitness-related services made available by Partners Unless expressly stated otherwise for a particular service, GymDate acts as a technology and aggregation platform facilitating the interaction, discovery, booking and payment process between users and Partners. The actual fitness service is ordinarily provided by the relevant Partner. 2. ELIGIBILITY You must provide accurate and complete information when creating or using a GymDate account. You represent and warrant that: 1. The information provided by you is truthful and accurate. 2. You are legally capable of entering into a binding agreement. 3. You will use the Platform only for lawful purposes. 4. You will comply with the rules and requirements of the relevant Partner. 5. You will not use the Platform for fraudulent, abusive or unauthorised activities. GymDate may restrict, suspend or terminate access where we reasonably believe that information is false, fraudulent, misleading, abusive or in violation of these Terms. 3. ACCOUNT REGISTRATION Certain GymDate features may require registration. You are responsible for maintaining the confidentiality and security of your account credentials, OTPs, passwords and other authentication information. Any activity carried out through your account may be treated as activity authorised by you unless you promptly notify GymDate of unauthorised access. GymDate shall not be responsible for losses resulting from your failure to maintain appropriate account security, except where liability cannot lawfully be excluded. 4. GYMDATE AS A PLATFORM GymDate's role may include providing technology, search, discovery, booking, payment facilitation, communication, customer-support and other marketplace functions. GymDate does not ordinarily own or operate every gym, fitness centre, studio or service listed on the Platform. The Partner is responsible for the actual delivery of the fitness service, including: • Premises • Equipment • Staff • Facilities • Hygiene and maintenance • Operating hours • Class schedules • Admission policies • Safety procedures • Membership conditions • Availability GymDate may assist users and Partners in resolving operational issues; however, such assistance does not automatically make GymDate the provider of the Partner's underlying fitness services. 5. PARTNER INFORMATION GymDate may display information supplied by Partners, including photographs, descriptions, pricing, facilities, timings, locations, membership conditions and availability. GymDate strives to keep Platform information accurate and current. However, information may change from time to time due to Partner updates, operational changes, availability, technical limitations or other circumstances. Accordingly, GymDate does not guarantee that every Partner listing, image, facility description, schedule or availability will always remain unchanged or continuously available. Where appropriate, GymDate may correct, modify, update, suspend or remove listings without prior notice. 6. BOOKINGS When you make a booking through GymDate, you agree to: 1. Provide accurate booking information. 2. Pay the applicable amount displayed at checkout. 3. Follow the Partner's applicable rules. 4. Use the booking only for its intended purpose. 5. Present valid identification, booking confirmation, QR code, pass or other verification requested by GymDate or the Partner. A booking may be subject to Partner-specific conditions displayed before or during the booking process. A booking is considered successful only after the transaction has been successfully processed and confirmation has been issued through GymDate or an authorised payment/communication channel. 7. PRICING Prices shown on GymDate may vary according to: • Partner • Location • Duration • Pass type • Time period • Promotional campaigns • Availability • Taxes • Discounts • Platform or service charges, where applicable The applicable amount payable by the user will be the amount displayed at the relevant stage of checkout, subject to correction of manifest errors. GymDate reserves the right to change prices, offers, fees and promotions at any time. A price change will ordinarily not affect a booking that has already been successfully confirmed, except where required due to a genuine technical or pricing error, fraud, misuse or circumstances permitted by applicable law. 8. PAYMENTS Payments may be processed through third-party payment gateways or other authorised payment providers. GymDate does not store sensitive card credentials unless specifically permitted by law and its authorised payment infrastructure. You agree to provide valid payment information and authorise the relevant payment provider to process your transaction. GymDate is not responsible for failures caused solely by a bank, card issuer, payment gateway, network provider or other third-party payment infrastructure. 9. REFUNDS AND CANCELLATIONS Cancellation, refund and rescheduling rights may differ depending upon the Partner, booking type, pass type and applicable offer. The cancellation/refund terms displayed at the time of booking will generally govern the transaction. Where a refund is approved, GymDate may process or facilitate the refund through the original payment method or another legally permissible method. Depending on the circumstances, processing time may be affected by banks, payment gateways or other financial institutions. GymDate may, where permitted by law and the applicable booking terms: • Apply cancellation charges; • Deduct non-refundable amounts; • Deny refunds for no-shows; • Restrict refunds for passes that have already been used; • Restrict repeated or abusive refund requests. Nothing in these Terms excludes any refund or consumer right that cannot legally be excluded. 10. NO-SHOWS If you fail to attend a booked session or fail to use a booking within the applicable period, the transaction may be treated as a "No-Show". Unless a specific Partner policy provides otherwise, a No-Show may result in: • Loss of the booking; • No refund; • Loss of the applicable session/pass entitlement; • Cancellation of the relevant reservation. 11. FITNESS, HEALTH AND SAFETY Use of fitness facilities is undertaken at your own responsibility. Before participating in exercise, training, classes or other physical activity, you are responsible for determining whether the activity is appropriate for you. You should seek appropriate professional medical advice where necessary before undertaking strenuous physical activity. GymDate does not provide medical advice, diagnosis, treatment or personalised medical recommendations. You are responsible for: • Disclosing relevant information to the Partner where required; • Following safety instructions; • Using equipment appropriately; • Following trainer/staff instructions; • Following gym and facility rules; • Immediately stopping activity where you feel unwell, injured or unsafe. GymDate does not guarantee that a particular facility, exercise programme, trainer or activity will be suitable for every individual. 12. PARTNER RULES Every Partner may maintain reasonable rules relating to entry, age restrictions, dress code, identification, equipment usage, photography/video, timings, classes, conduct, safety, hygiene, capacity, and personal belongings. You agree to comply with such rules. Where Partner rules conflict with mandatory legal rights, the applicable law will prevail. GymDate may assist in communicating Partner policies to users but is not responsible for enforcing every Partner rule independently. 13. USER CONDUCT You agree not to: 1. Use GymDate for fraudulent purposes. 2. Create multiple accounts to obtain unauthorised benefits. 3. Misrepresent your identity. 4. Manipulate bookings, reviews, referrals, discounts or promotions. 5. Attempt to bypass GymDate's booking or payment mechanisms. 6. Use automated systems, bots, scraping tools or similar technologies without written authorisation. 7. Interfere with Platform security. 8. Upload unlawful, offensive, defamatory or infringing content. 9. Attempt unauthorised access to GymDate systems. 10. Resell, transfer or commercially exploit GymDate bookings without authorisation. 11. Abuse GymDate staff, Partner staff or other users. 12. Engage in any activity that may damage GymDate, its Partners or other users. GymDate may immediately suspend or restrict accounts involved in suspected misuse, fraud or abuse. 14. PROMOTIONS AND OFFERS GymDate may provide promotional codes, discounts, referral rewards, cashback, introductory offers or other promotional benefits. Promotions may be subject to additional conditions, validity periods, usage limitations and eligibility requirements. Unless expressly stated otherwise, promotional benefits: • Cannot be exchanged for cash; • May not be combined with other offers; • May be limited to one user/account/device; • May be cancelled where obtained through misuse, fraud or technical exploitation. GymDate reserves the right to modify or withdraw promotional schemes in accordance with applicable law. 15. MEMBERSHIPS AND PASSES A GymDate pass or membership provides only the rights specifically associated with that product. Unless expressly stated otherwise: • Passes are not automatically transferable; • Passes are subject to validity periods; • Expired passes cannot ordinarily be used; • A pass may be subject to specific Partner availability; • A pass cannot be converted into cash; • A pass cannot be reproduced, duplicated or commercially resold. GymDate may request identity verification before allowing use of a pass. 16. AVAILABILITY GymDate aims to provide a convenient and reliable booking experience but does not guarantee uninterrupted availability of any particular gym, Partner, class, location, trainer, equipment or facility. Availability may change because of capacity limits, maintenance, holidays, private events, government restrictions, partner decisions, technical issues, safety requirements, or force majeure events. Where reasonable and practicable, GymDate may notify the user of material changes affecting a confirmed booking. 17. CANCELLATION OR CHANGE BY PARTNER A Partner may occasionally be unable to honour a booking due to circumstances beyond reasonable control. Where this occurs, GymDate may, depending on circumstances and applicable law: • Offer an alternative booking; • Facilitate rescheduling; • Facilitate a refund; • Provide an alternative Partner; • Provide another commercially reasonable resolution. GymDate will make reasonable efforts to assist the user but cannot guarantee that an identical alternative will always be available. 18. INTELLECTUAL PROPERTY All GymDate intellectual property, including brand name, logo, website design, application interface, content, graphics, software, databases, text, user interface elements, trademarks, service marks, and proprietary technology is owned by or licensed to SantoEdge Private Limited and is protected by applicable intellectual-property laws. You may use GymDate only for personal and lawful purposes. You may not reproduce, copy, modify, distribute, reverse engineer, scrape, commercially exploit or create derivative works from GymDate intellectual property without prior written permission. 19. USER CONTENT AND REVIEWS Where GymDate allows reviews, ratings, photographs, comments or other content ("User Content"), you remain responsible for the content you submit. By submitting User Content, you grant GymDate a non-exclusive, worldwide, royalty-free, transferable and sublicensable licence to use, reproduce, display, publish, modify and distribute that content for operating, marketing, improving and promoting GymDate, subject to applicable law. You represent that you have the necessary rights to submit the content. GymDate may remove or restrict User Content that it reasonably believes violates these Terms, applicable law, intellectual-property rights, privacy rights or Platform standards. 20. THIRD-PARTY SERVICES GymDate may integrate third-party services including payment gateways, maps, messaging providers, authentication providers, analytics tools, cloud services, and communication providers. Such third-party services may be governed by their own terms and privacy policies. GymDate will not be responsible for independent failures, actions or policies of third-party providers except to the extent required by applicable law. 21. PRIVACY Your personal information will be handled in accordance with GymDate's applicable Privacy Policy and relevant data-protection laws. By using GymDate, you acknowledge that certain information may be required to: • Create and maintain your account; • Process bookings; • Process payments; • Communicate with you; • Verify bookings; • Provide customer support; • Improve Platform functionality; • Prevent fraud and misuse; • Comply with legal obligations. 22. COMMUNICATIONS By using GymDate, you agree that GymDate may communicate with you through appropriate channels, including SMS, Email, Phone, WhatsApp, push notifications, and in-app notifications. Transactional communications such as booking confirmations, payment notifications, cancellations and important service updates may be sent regardless of whether you have opted out of promotional communications, where legally permitted. 23. DISCLAIMER OF WARRANTIES To the maximum extent permitted by applicable law, GymDate provides the Platform on an "as available" and "as is" basis. GymDate does not guarantee that: • The Platform will always be uninterrupted; • Every Partner will remain continuously available; • All Partner information will always be completely error-free; • Every service will meet your personal expectations; • The Platform will be completely free of technical issues; • Every gym or fitness service will be suitable for your individual needs. 24. LIMITATION OF LIABILITY To the maximum extent permitted by applicable law, SantoEdge Private Limited and GymDate shall not be liable for indirect, incidental, special, consequential or punitive losses arising from your use of the Platform, including loss of profits, loss of opportunity, loss of data or business interruption. Where legally permissible, the aggregate liability of GymDate/SantoEdge in relation to a particular booking shall not exceed the amount actually paid by the affected user for that specific booking. 25. PARTNER-RELATED ISSUES Where a complaint relates primarily to the actual operation of a gym or fitness facility, GymDate may facilitate communication with the relevant Partner. Examples include: • Facility condition; • Staff behaviour; • Equipment availability; • Gym cleanliness; • Class quality; • Trainer conduct; • Operating hours; • Local facility policies. GymDate will make reasonable efforts to help resolve legitimate complaints but cannot guarantee a particular outcome where the underlying issue is controlled by an independent Partner. 26. INDEMNIFICATION To the maximum extent permitted by law, you agree to indemnify and hold harmless SantoEdge Private Limited, GymDate and their directors, officers, employees, contractors and representatives from claims, losses, liabilities, costs and expenses arising from: • Your violation of these Terms; • Fraudulent or unlawful use of the Platform; • Your violation of Partner rules; • Your User Content; • Your infringement of another person's rights; • Your misuse of bookings, promotions or Platform functionality. 27. ACCOUNT SUSPENSION OR TERMINATION GymDate may suspend, restrict or terminate your account where reasonably necessary, including where: • You breach these Terms; • Fraud or misuse is suspected; • Payment abuse is suspected; • Promotional abuse is identified; • Account security is compromised; • Your activity may harm GymDate, Partners or users; • Required by law or competent authority. 28. MODIFICATION OF THE PLATFORM GymDate may add, remove, modify or discontinue Platform features, services, Partners or functionality from time to time. This may include changes to: • Booking methods; • Payment methods; • User interface; • Membership options; • Partner network; • Pricing structures; • Technical systems; • Communication channels. 29. CHANGES TO THESE TERMS GymDate may revise these Terms from time to time to reflect changes in the Platform, business operations, partner arrangements, technology, applicable law, or security requirements. Updated Terms may be published on the Platform with the revised effective date. Your continued use of GymDate after the updated Terms become effective constitutes acceptance of the revised Terms. 30. FORCE MAJEURE GymDate will not be responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, floods, earthquakes, pandemics, war, civil unrest, government restrictions, strikes, infrastructure failure, internet outages, telecommunications failures, cyber incidents or other circumstances beyond reasonable control. 31. DISPUTE RESOLUTION GymDate encourages users to first contact customer support so that legitimate issues may be reviewed and resolved efficiently. Nothing in this clause limits any mandatory statutory remedy available to a consumer. Subject to applicable law, disputes may be addressed through appropriate courts, tribunals, consumer commissions, authorities or other legally recognised mechanisms having jurisdiction over the matter. 32. GOVERNING LAW These Terms shall be governed by the laws of India. Subject to mandatory consumer-protection and other applicable legal requirements, matters relating to the interpretation or enforcement of these Terms may be subject to the jurisdiction of the courts having appropriate jurisdiction over Visakhapatnam, Andhra Pradesh. 33. SEVERABILITY If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision shall be modified or severed only to the extent necessary, and the remaining provisions shall continue in full force and effect. 34. NO WAIVER Failure by GymDate or SantoEdge Private Limited to enforce any provision of these Terms shall not constitute a waiver of the right to enforce that provision later. 35. ENTIRE AGREEMENT These Terms, together with the applicable Privacy Policy, Refund/Cancellation Policy, Partner-specific conditions and other policies displayed on GymDate, constitute the agreement governing your use of the Platform, except where a specific written agreement or mandatory law provides otherwise. 36. ELECTRONIC ACCEPTANCE Your continued use of GymDate, registration of an account, booking of a service, clicking "I Agree", checking an acceptance box, confirming a booking, or otherwise using the Platform constitutes electronic acceptance of these Terms to the extent recognised by applicable law. 37. CUSTOMER SUPPORT For booking-related or Platform-related assistance, users may contact GymDate through the customer-support channels displayed on the Platform. When contacting support, you may be asked to provide your booking ID, registered mobile number, transaction information or other information reasonably necessary to verify your request. 38. IMPORTANT USER ACKNOWLEDGEMENT By using GymDate, you acknowledge and agree that: • GymDate's primary function is to provide an aggregation and technology platform for discovering and accessing fitness services. • Individual Partners independently provide the underlying fitness service. • Partner-specific policies may apply to your booking. • You are responsible for using fitness facilities safely and responsibly. • Booking, cancellation, refund and pass conditions may vary by product and Partner. • You will not misuse the GymDate Platform. • You will provide accurate information. • You will respect Partner rules and other users. • GymDate may take reasonable action against fraudulent, abusive or unauthorised activity.
